Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PrimeStack hospital management platform (the “Platform”) and this website, provided by PrimeStack Technologies (“PrimeStack”, “we”, “us”, “our”). Please read them carefully.

01Agreement to these terms

By accessing this website or using the Platform, you agree to be bound by these Terms. If you are using the Platform on behalf of a hospital or organisation, you represent that you are authorised to bind that organisation. If you do not agree, do not use the website or the Platform.

02About PrimeStack

PrimeStack is a voice-first hospital management platform for Indian healthcare providers, covering OPD, IPD, laboratory, operation theatre, pharmacy and billing on a single patient record. Features may be offered as a whole suite or as individual modules, and may change over time as the Platform evolves.

03Eligibility & accounts

The Platform is intended for use by authorised staff of customer hospitals. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly of any unauthorised use. We may suspend accounts that pose a security or integrity risk.

04Customer & patient data

As between the hospital and PrimeStack, the hospital owns and controls the clinical and operational data it enters into the Platform, including patient records. PrimeStack processes such data only to provide the Platform, in accordance with our Privacy Policy and the applicable agreement. The hospital is responsible for obtaining any consents and having a lawful basis to collect and process patient data.

05Acceptable use

You agree not to:

• use the Platform unlawfully, or in violation of any healthcare, privacy or data-protection regulation;
• attempt to access data you are not authorised to access, or interfere with the security or operation of the Platform;
• copy, modify, reverse-engineer, decompile or create derivative works from the Platform, except as permitted by law;
• resell, sublicense or provide the Platform to third parties without our written consent; or
• upload malicious code or content that infringes the rights of others.

06Fees & payment

Fees for the Platform are set out in the applicable order form or subscription plan. Unless stated otherwise, fees are exclusive of applicable taxes and are payable per the agreed schedule. Late or unpaid fees may result in suspension of access after reasonable notice.

07Intellectual property

The Platform, website, and all related software, designs, text and trademarks are owned by PrimeStack or its licensors and are protected by law. Subject to these Terms and any agreement, we grant customers a limited, non-exclusive, non-transferable right to use the Platform during the subscription term. No other rights are granted.

08Confidentiality

Each party may access the other’s confidential information. Each party agrees to protect the other’s confidential information with reasonable care and to use it only to perform under these Terms, except where disclosure is required by law.

09Availability, support & maintenance

We work to keep the Platform available and reliable, but do not warrant that it will be uninterrupted or error-free. We may perform scheduled maintenance and will make reasonable efforts to minimise disruption. Support is provided as described in the applicable plan or agreement.

10Clinical disclaimer

The Platform is a tool to help hospitals record, organise and manage information. It does not provide medical advice and is not a substitute for the professional judgment of qualified clinicians. Any decisions relating to patient care remain the sole responsibility of the treating healthcare professionals and the hospital.

11Warranties & disclaimers

Except as expressly stated in a signed agreement, the Platform and website are provided “as is” and “as available”, and we disclaim all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

12Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue or data. Our aggregate liability arising out of or relating to the Platform will not exceed the fees paid by the relevant customer to PrimeStack in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be excluded under law.

13Indemnification

You agree to indemnify and hold PrimeStack harmless from claims, damages and expenses arising out of your misuse of the Platform, your violation of these Terms, or your infringement of the rights of a third party, to the extent permitted by law.

14Term & termination

These Terms apply while you use the website or the Platform. Platform subscriptions run for the term set out in the applicable agreement. Either party may terminate for material breach that remains uncured after reasonable notice. On termination, access ends and, on request, we will make customer data available for export for a limited period before deletion in line with our retention practices.

15Governing law & dispute resolution

These Terms are governed by the laws of India. Subject to any dispute-resolution provisions in a signed agreement, the competent courts in India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

16Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the website or the Platform after changes take effect constitutes acceptance of the updated Terms.
